A simple guide in establishing a trading company in Tanzania

A Certificate of incorporation is issued by the Business Registration and Licensing Agency (BRELA). BRELA is the government agency responsible for registration of companies in Tanzania. The registration process is conducted through the BRELA Online Registration System, which can be accessed on the website of BRELA.

Frequently Asked Questions

  • The main legislation governing companies in Tanzania is the Companies Act, 2002. However there are other special laws governing the activities of the company depending on the relevant sector.

  • There are no restriction of nationality in establishing a company in Tanzania. Any foreign person can establish a company, as long as she meets the requirements. The requirments might include; details of the residential address and possessing a valid passport.

  • The Companies Act, 2002 has not specified a timeflame within which the Registrar of Companies is required to process the application once lodged. However the certificate of incorporation is issued once the Registrar is satisfied that all the requirments of the Act have been complied with. This might take a couple of weeks. The timeflame is not specific.

  • There are no restrictions as to nationality of a person who can act as a director of the Company. A foreign person can act as a director of the company, as long as she meets the necessary requirments.

  • No, a company cannot be established in Tanzania by a single shareholder. In order to establish a company you need to be two or more members. However the Companies Act, 2002 was amended in 2012 to provide for the single shareholder company. But in order for this to operate the Minister responsible for trade is required to issue regulations. Upto now the required regulations have not been issued.
